Certification Participation Agreement
This Certification Participation Agreement (“Agreement”) governs your participation in the Embodied Metaphysics Manifestation Coach Certification Program (the “Certification Program”) offered by TheUniverseGuru LLC (“Company,” “we,” “us,” or “our”).
By applying to, enrolling in, or participating in the Certification Program, you agree to the terms of this Agreement.
This Agreement incorporates by reference the Company’s existing Website Terms and Conditions, Privacy Policy, and related policies (collectively the “Website Terms”). The Website Terms are incorporated into this Agreement as if fully set forth herein. In the event of any conflict between this Agreement and the Website Terms, this Agreement controls with respect to matters specific to the Certification Program.
1. Eligibility
Participants must be at least eighteen (18) years of age to apply for or participate in the Certification Program.
The Certification Program is available internationally. Participants are responsible for complying with all applicable laws, licensing requirements, and professional regulations in their jurisdiction.
2. Program Structure
The Certification Program is delivered primarily online and may include, but is not limited to:
• Recorded curriculum
• Live training calls
• Question and answer sessions
• Written assessments
• Verbal assessments
• Case study submissions
• Group discussions or community participation
The Company reserves the right to modify program curriculum, instructors, schedules, delivery formats, technology platforms, and program components at its sole discretion.
3. 3 Year Curriculum Access
Participants receive 3 year access to the core curriculum and recordings.
3 Year access does not guarantee access to any specific platform, feature, instructor, community space, or delivery system.
The Company may migrate or change technology platforms at any time.
4. Payments and No Refund Policy
The Certification Program may be offered through pay in full or limited payment plan options.
By enrolling, you authorize the Company to charge your selected payment method according to the payment schedule selected during enrollment.
All purchases are final.
The Company does not offer refunds, returns, exchanges, or credits for any reason, including but not limited to:
• missed sessions
• inability to attend live calls
• dissatisfaction with the program
• personal scheduling conflicts
• failure to complete certification requirements
• removal from the program due to misconduct
Participants remain responsible for the full tuition regardless of completion status.
If payment obligations are not fulfilled, the Company may suspend program access and pursue collection of outstanding balances.
5. Graduation Versus Certification
Participation in the Certification Program does not automatically grant certification.
Participants may complete the program and be recognized as graduates.
Certification is granted only to participants who satisfy the Company’s certification requirements, which may include:
• completion of required modules
• written examinations
• verbal assessments
• case study submissions
• attendance requirements
• professional conduct standards
The Company reserves sole discretion in determining whether certification requirements have been met.
Participants who complete the program but do not meet certification standards may be designated as graduates but not certified practitioners.
6. Nature of Certification
Certification signifies completion of the Company’s training requirements.
Certification does not constitute endorsement, supervision, or approval of the participant’s services, business practices, or client outcomes.
Participants operate as independent professionals and are solely responsible for their services and business activities.
7. Independent Contractor Relationship – No Joint Venture or Agency
Participation in the Certification Program does not create any partnership, joint venture, employment, franchise, or agency relationship between the participant and the Company.
Participants are independent business owners.
Participants are not employees, representatives, agents, affiliates, partners, or spokespersons of the Company.
Participants may not represent themselves as speaking on behalf of the Company or acting as an official representative.
Participants may not bind the Company to any agreement or liability.
Participants are solely responsible for their business practices, services, legal compliance, and client relationships.
8. Scope of Use of Certification
Certified participants may apply concepts and frameworks learned in the Certification Program within their own independent coaching practice.
Certified participants may work with private clients or groups within their own businesses.
Participants may not teach, license, or train others in the Company’s proprietary methodology.
Participants may not present the Company’s frameworks, stages, or methodology as educational curriculum or training.
The Certification Program is intended for application in coaching work, not for teaching the methodology publicly.
9. Intellectual Property
All Certification Program materials are the intellectual property of the Company, including but not limited to:
• curriculum
• program recordings
• diagrams and frameworks
• terminology and methodologies
• teaching structures and sequences
Participants receive a limited, non transferable, revocable license for personal educational use and limited application within their own coaching work if certified.
Participants may not reproduce, distribute, publish, sell, license, share, or create derivative works based on the Company’s materials.
10. Certification Title and Credential Use
Participants who receive certification may truthfully state that they are certified through the Company using language approved by the Company.
Certification may not be used in a manner that implies endorsement, supervision, or employment by the Company.
Certification status remains valid only while the participant remains in good standing with the Company.
The Company may establish additional rules regarding how certification titles or credentials may be displayed.
11. Client Disclosure Requirement
Certified practitioners must disclose to their clients that they operate independently from the Company.
Practitioners may not represent the Company as responsible for their services or client outcomes.
The following disclosure, or substantially similar language, must appear in the practitioner’s client agreement:
“Coach is an independent practitioner who has completed training through TheUniverseGuru LLC. Coach is not an employee, agent, or representative of TheUniverseGuru LLC, and TheUniverseGuru LLC is not responsible for Coach’s services or client outcomes.”
12. Professional Responsibility
The Certification Program is educational in nature and does not provide medical, psychological, legal, or financial advice.
Participants agree to operate within their professional scope and refer clients to licensed professionals when appropriate.
The Company strongly recommends that participants obtain professional liability insurance and comply with all applicable laws governing coaching or consulting services.
13. Community Conduct
If the Certification Program includes a private community space, participants agree to maintain respectful and professional conduct.
Participants may not harass, threaten, intimidate, or disrupt other participants or program facilitators.
Participants may not share confidential information, recordings, or personal disclosures made by other participants.
The Company may remove participants from the program or community if conduct is deemed harmful to the integrity or safety of the program.
14. Suspension or Revocation of Certification
Certification is a revocable privilege.
The Company reserves the right to suspend or revoke certification if a participant:
• violates intellectual property rights
• teaches or distributes proprietary materials
• creates competing certification programs
• misrepresents affiliation with the Company
• violates confidentiality
• engages in harassment or unethical conduct
• engages in conduct that harms the Company’s reputation or brand or violates any of Company's terms
Upon revocation, the participant must immediately cease representing themselves as certified by the Company.
15. Derivative Training and Competing Certification Prohibition
Participants acknowledge that the Certification Program contains proprietary frameworks, methodologies, structures, stages, and teaching sequences developed by the Company.
Participants agree they will not directly or indirectly:
• create, develop, market, or offer any certification program or teacher training based on the Company’s methodologies
• teach the Company’s proprietary frameworks as educational curriculum
• create courses or trainings substantially similar to the Certification Program
• train other coaches in the Company’s methodology
• reverse engineer, rename, restructure, adapt, or repackage the Certification Program into a new training program
A “substantially similar program” includes any program derived from or materially based on the Certification Program, even if terminology or branding is modified.
Participants remain free to operate independent coaching practices and apply concepts learned in the program within their client work.
16. Media Release
By participating in live calls or program activities, participants grant the Company permission to use their name, image, voice, likeness, and participation in recordings or promotional materials without notice or compensation.
17. Dispute Resolution
All dispute resolution provisions contained in the Website Terms apply to this Agreement, including arbitration, limitations of liability, class action waivers, and governing law.
18. Entire Agreement
This Agreement, together with the incorporated Website Terms, constitutes the entire agreement between the participant and the Company regarding the Certification Program.
The Company may update this Agreement from time to time. Continued participation after such updates constitutes acceptance of the revised terms.
Changes to These Terms
We may update these Terms from time to time. If any updates are made to these Terms, they will be posted here. Please check this page frequently for updates.
